1. Acceptance of Terms

By installing, accessing, or using SEO Insight Engine (the "Extension") or any related services operated by Mubix Labs ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Extension.

These Terms apply to all users of the Extension, including users of the free plan and paid subscribers.

2. Description of Service

SEO Insight Engine is a Visual Studio Code extension that provides SEO analysis, performance auditing, accessibility checking, code optimization, and related developer tooling. The Extension operates primarily on your local machine. Certain features (including license validation, AI-powered suggestions, and account management) require an internet connection and communicate with Mubix Labs servers or third-party service providers.

3. License to Use

Subject to your compliance with these Terms and payment of any applicable fees, Mubix Labs grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Extension solely for your personal or internal business purposes.

You may not:

  • Distribute, sublicense, sell, or transfer the Extension or your license key to any third party
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any proprietary component of the Extension
  • Use the Extension to build a competing product or service
  • Share your license key with individuals not covered by your plan (Team plans have explicit seat allocations)
  • Circumvent, disable, or interfere with any license validation or security mechanism

4. Accounts and License Keys

To access paid features, you must obtain a valid license key through our authorized checkout process. You are responsible for:

  • Keeping your license key confidential
  • All use of the Extension under your license key
  • Notifying us immediately if you suspect unauthorized use of your key at support@mubixlabs.studio

License keys are issued per-seat for individual plans. Team plan seats are managed through the team dashboard. Sharing a single-seat license key across multiple users is a violation of these Terms and may result in immediate license revocation without refund.

5. Payment and Billing

Paid plans are billed monthly or annually in advance. All prices are listed in USD.

Free Trial: Where offered, free trials automatically convert to the selected paid plan at the end of the trial period unless cancelled before the trial ends.

Refunds: We offer a 14-day money-back guarantee on all paid plans for new subscribers. Refund requests after 14 days are evaluated on a case-by-case basis. Annual plans cancelled after 14 days are not entitled to a prorated refund.

Renewals: Subscriptions renew automatically. You may cancel at any time through your account dashboard. Cancellation takes effect at the end of your current billing period.

Payment Processing: Payments are processed by Lemon Squeezy, our third-party payment provider. By making a purchase, you also agree to Lemon Squeezy's terms of service. Mubix Labs does not store or process your payment card information directly.

6. AI Features

The Pro + AI and Team plans include AI-powered features that analyze your web page content to generate suggestions. By using these features:

  • You acknowledge that your page's publicly-accessible content (text, metadata, and image URLs) is transmitted to AI processing services
  • You confirm you have the right to submit such content for analysis
  • You understand that AI-generated suggestions are recommendations only and should be reviewed by a qualified professional before implementation
  • Mubix Labs does not guarantee the accuracy, completeness, or fitness of AI-generated suggestions

We do not use your content to train AI models.

7. Prohibited Uses

You agree not to use the Extension or related services to:

  • Violate any applicable law or regulation
  • Audit websites you do not own or have explicit permission to audit
  • Transmit malicious code or interfere with the operation of any system
  • Collect or harvest data from third-party websites in violation of those sites' terms
  • Engage in any activity that could damage, disable, or overburden our infrastructure

8. Intellectual Property

The Extension, including its code, design, branding, documentation, and all related materials, is owned by Mubix Labs and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to you.

The name "SEO Insight Engine," the "Mubix Labs" brand name and logo, and all associated marks are trademarks of Mubix Labs. You may not use these marks without our prior written consent.

9. Third-Party Services

The Extension may integrate with or depend on third-party services (including but not limited to Google Lighthouse, image processing libraries, and AI providers). Your use of such services is subject to their respective terms. Mubix Labs is not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimer of Warranties

THE EXTENSION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that the Extension will meet your specific requirements or that any SEO, performance, or accessibility suggestions will result in improved search rankings or website performance.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MUBIX LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE EXTENSION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE EXTENSION SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mubix Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Extension, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your license and access to paid features at any time if we determine, in our sole discretion, that you have violated these Terms. Upon termination:

  • Your license key is deactivated
  • Access to paid features is immediately revoked
  • No refund will be issued for violations of these Terms

You may terminate your subscription at any time through your account dashboard.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify active subscribers of material changes via email or in-extension notification at least 14 days before they take effect. Continued use of the Extension after the effective date of any changes constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with applicable international commercial law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under internationally recognized arbitration rules.
